The Rules of the Road

Effective April 27, 2026. By accessing the TechResidential website or customer portal you agree to these terms.

1. Acceptance of these terms

These Terms of Service ("Terms") govern your use of the TechResidential website at techresidential.com, the customer portal, and any related services we provide (collectively, the "Service"). By using the Service you agree to be bound by these Terms. If you don't agree, please don't use the Service.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

2. Accounts

  • You're responsible for keeping your sign-in credentials confidential and for all activity under your account.
  • We strongly encourage enabling multi-factor authentication. We reserve the right to require it for administrative roles.
  • Notify us immediately at security@techresidential.com if you suspect unauthorized use of your account.
  • We may suspend or terminate accounts that abuse the Service, violate these Terms, or pose a security risk.

3. Acceptable use

You agree not to:

  • Reverse engineer, scrape, or attempt to derive source code from the Service.
  • Probe, scan, or test the vulnerability of the Service without prior written authorization.
  • Interfere with or disrupt the Service, the servers or networks that host it, or other users.
  • Upload or transmit any content that is unlawful, infringing, defamatory, or that contains malware.
  • Use the Service to send spam, run automated abuse, or circumvent our anti-bot protections (including Google reCAPTCHA).
  • Use the Service to build a competing product or to benchmark for that purpose.

4. Customer data

You retain ownership of all data you or your authorized users upload to the Service ("Customer Data"). You grant us a limited license to host, process, transmit, back up, and display Customer Data solely to provide and improve the Service and as instructed by you. We process Customer Data in accordance with our Privacy Policy.

You're responsible for the accuracy and lawfulness of Customer Data and for ensuring you have the necessary rights to share it with us.

5. Fees and payment

If you have signed an order form, statement of work, or master services agreement with us, the fees, billing terms, and engagement scope set out in that document control. Otherwise, the public website and informational portions of the Service are provided free of charge for evaluation. We may change pricing for the paid Service with reasonable notice.

6. Third-party services

The Service uses third-party providers including Google reCAPTCHA (anti-abuse) and Google Analytics (usage analytics). Your use of those providers is subject to their respective terms and privacy practices. We're not responsible for the acts or omissions of third parties beyond our reasonable control.

7. Intellectual property

The Service and all underlying software, design, content, and trademarks are owned by TechResidential and our licensors and are protected by applicable intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. Any feedback you provide may be used by us without restriction.

8. Confidentiality

Each party will protect the other's non-public business and technical information using at least the same care it uses to protect its own confidential information (and not less than a reasonable standard of care). Confidentiality obligations don't apply to information that becomes public without breach, was already known, was independently developed, or must be disclosed by law.

9. Disclaimers

EXCEPT AS EXPRESSLY STATED IN A SIGNED AGREEMENT, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING FROM YOUR USE OF THE SERVICE — EVEN IF ADVISED OF THE POSSIBILITY. EACH PARTY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE FEES YOU PAID TO US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED U.S. DOLLARS (US $100), WHICHEVER IS GREATER.

11. Indemnification

You agree to defend, indemnify, and hold TechResidential harmless from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of (a) Customer Data, (b) your violation of these Terms, or (c) your violation of any law or third-party right.

12. Termination

We may suspend or terminate access to the Service at any time if you breach these Terms. You may stop using the Service at any time. Provisions that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and dispute resolution — will survive.

13. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. The exclusive venue for any dispute arising out of or relating to these Terms is the state and federal courts located in Hillsborough County, Florida, and each party consents to personal jurisdiction in those courts.

14. Changes

We may update these Terms occasionally. The "Effective" date at the top reflects the most recent revision. If a change is material, we'll provide reasonable advance notice. Your continued use of the Service after the change takes effect constitutes acceptance.
